NorthBay Elite Fútbol Club
CONSTITUTION
I
– NAME
1.1 The name of the Organization shall be NorthBay Elite Fútbol Club.
II
– PURPOSE
2.1 The purpose of the NorthBay Elite Fútbol Club (NBEFC) is to promote the game of
soccer, develop individual skills and team tactics to enable players and/or teams to
compete at the state, regional, and national level. And create an environment in which
players can reach their full potential and achieve the self-confidence and positive selfesteem
necessary to be successful both on and off the soccer field.
2.2 NBEFC is organized exclusively for charitable, religious, educational, and scientific
purposes, including, for such purposes, the making of distributions to organizations
that qualify as exempt organizations under 501(c) (3) of the Internal Revenue Code,
or corresponding section of any future federal tax code.
2.3 Upon the dissolution of NBEFC, assets shall be distributed for one or more exempt
purpose within the meaning of section 501 (c) (3) of the Internal Revenue Code, or
corresponding section of any future federal tax code, or shall be distributed to the
federal government, or to as state or local government, for a public purpose. Any
such assets not disposed of shall be disposed of by a Court of Competent Jurisdiction
of the county on which the principal office of the organization is then located,
exclusively for such purposes or to such organization or organizations, as said Court
shall determine, which are organized and operated exclusively for such purposes.
III
– AFFILIATIONS
3.1 NorthBay Elite Fútbol Club shall affiliate with US Club Soccer, United States
Youth Soccer Association and United States Soccer Federation.
IV
– TERRITORY
4.1 The territory of the NBEFC shall encompass all boundaries within the United
States Soccer Federation.

– COLORS
5.1 The representative colors of NorthBay Elite Fútbol Club shall be Navy Blue and
White.

– MEMBERSHIP
6.1 Membership in NorthBay Elite Fútbol Club shall be open to properly registered
players assigned to affiliated teams and to other persons (coaches and assistants,
referees, Board of Directors, etc.) who perform bonafide Club duties.
6.2 All members shall abide by the Constitution and By-Laws of the NorthBay Elite
Fútbol Club, the United States Youth Soccer Association and the United States
Soccer Federation; all General Procedures and Specific Rules as set forth by the
Board of Directors and all applicable rules and regulations of NorthBay Elite
Fútbol Club, USYSA and USSF.

– GOVERNMENT
7.1 NorthBay Elite Fútbol Club shall be governed by its Constitution and Bylaws, and
Policies and Guidelines.
7.2 The governing authority shall be vested in the Board of Directors. The
membership, powers and election of the Board of Directors are defined in the
Bylaws of NorthBay Elite Fútbol Club.
